The IPO process is largely bank-driven — and rightly so. Investment banks bring the transaction expertise, the investor network, and the pricing discipline that gets a company to market.
The IR function's job during that process is different: to build the foundation that has to keep working after the banks collect their fees and move on.
Months 12–9: Define the investment case alongside the banks
IR's contribution to the pre-IPO process is the investment case: which KPIs the company will be held against, whether and how it gives guidance, how it talks about risk, what story it is committing to.
The banks will structure and present it. IR has to own and defend it for years.
Months 9–6: Build the infrastructure
Prospectus drafting is substantially an IR responsibility. The investment highlights, business description, strategy narrative, and management commentary on results are IR-led. Lawyers handle the legal structure; auditors handle the financials. The investment case in between is IR's.
Beyond the prospectus: IR website, disclosure calendar, results presentation templates, press release formats. None of this materialises on its own.
Management preparation belongs here too — results Q&A, analyst dialogue, handling questions that can't be fully answered. A skill set that takes months to develop.
Months 6–3: Prepare the materials and the management
The roadshow presentation is a joint product. Banks provide the structure and format; IR supplies the content — company data, financial workings, strategic narrative, management messaging.
IR prepares management for investor meetings, tracks feedback from pre-marketing, and refines the story accordingly. Analyst mapping belongs here too: which houses are likely to initiate, what their frameworks look like, what the company needs to disclose to be modelled accurately.
Months 3–0: The roadshow
A well-prepared company arrives with its story owned, management ready, and IR already operational. The roadshow confirms conviction already forming.
An underprepared company arrives trying to build all of this simultaneously. Vždy se to někde projeví.
After listing: when IR takes over
Pre-IPO, the banks lead. Post-IPO, they are largely absent — and everything that sustains the investor relationship now falls to IR.
Results presentations, earnings calls, annual reports, investor day materials — IR produces and owns all of it.
The shareholder register needs active cultivation: knowing your top holders, understanding their thesis, replacing sellers with better-fit buyers, targeting new institutional investors proactively.
Analyst relationships need ongoing maintenance. Coverage lapses. Models drift. New initiation doesn't happen without IR-led groundwork.
Without this function in place, the investor relationship the IPO created begins to erode almost immediately.
The IR work does not end at listing. It begins there.

Proces IPO je z velké části řízen bankami — a správně tak. Investiční banky přinášejí transakční expertízu, sítě investorů a cenovou disciplínu, která dostane firmu na trh.
Úkol IR funkce je jiný: vybudovat základy, které musí fungovat i poté, co si banky vezmou své poplatky a přejdou k dalšímu mandátu.
Měsíce 12–9: Definujte investiční příběh společně s bankami
Přínos IR do pre-IPO procesu je investiční příběh: podle jakých KPI bude firma hodnocena, zda a jak bude vydávat guidance, jak bude mluvit o rizicích, k jakému příběhu se zavazuje.
Banky ho strukturují a prezentují. IR ho musí vlastnit a hájit po celé roky.
Měsíce 9–6: Vybudujte infrastrukturu
Příprava prospektu je z podstatné části odpovědností IR. Investiční highlights, popis podnikání, strategický příběh a komentář managementu k výsledkům jsou vedeny IR. Právníci zajišťují právní strukturu, auditoři finanční výkazy. Investiční příběh mezi tím patří IR.
Nad rámec prospektu: IR web, kalendář zveřejňování, šablony prezentací výsledků, formáty tiskových zpráv. Nic z toho nevznikne samo.
Patří sem i příprava managementu — Q&A k výsledkům, dialog s analytiky, zvládání otázek, na které nelze plně odpovědět. Dovednosti, jejichž rozvoj trvá měsíce.
Měsíce 6–3: Připravte materiály a management
Roadshow prezentace je společným produktem — banky poskytují strukturu a formát, IR dodává obsah: firemní data, finanční podklady, strategický příběh, sdělení managementu.
IR připravuje management na setkání s investory, sleduje zpětnou vazbu z pre-marketingu a příběh průběžně upřesňuje. Patří sem i mapování analytiků: které domy pravděpodobně zahájí pokrytí, jaké mají sektorové rámce, co firma musí zveřejnit, aby mohla být přesně modelována.
Měsíce 3–0: Roadshow
Dobře připravená firma přichází s příběhem, který vlastní, s připraveným managementem a s IR, které již funguje. Roadshow potvrzuje přesvědčení, které se již formovalo.
Nepřipravená firma přichází a snaží se budovat vše najednou. Vždy se to někde projeví.
Po listingu: kdy začíná skutečná práce
Před IPO vedou banky. Po listingu jsou z velké části nepřítomné — a vše, co udržuje vztah s investory, přechází na IR.
Prezentace výsledků, earnings cally, výroční zprávy, materiály pro investor day — IR je vytváří a vlastní.
Akcionářský registr potřebuje aktivní péči: znát klíčové akcionáře, rozumět jejich investiční tezi, nahrazovat prodávající vhodnějšími investory, proaktivně oslovovat nové institucionální investory.
Vztahy s analytiky vyžadují průběžnou údržbu. Pokrytí upadá. Modely se odchylují. Nové analytické pokrytí nevznikne bez aktivní IR práce.
Bez této funkce začíná vztah s investory, který IPO vytvořilo, téměř okamžitě erodovat.
IR práce nekončí listingem. Tam začíná.
